ANNUAL MEMBERS MEETING MINUTES

FEBRUARY 15, 2023

Board Members

Present: ​Daniel Linblom, Jamie D'Albenzio, Lauren Byrne, Douglas DeLuca & Rick Stacy.

Board Members

Absent:​​None

Also Present:​​Jim Bouras, Community Management & Construction, Inc.

The Annual Members Meeting was called to order at 7:00 pm by Mr. Bouras. There were 7Homeowner/Members in attendance at the Annual Members Meeting. Mr. Bouras reminded the Board Members and homeowners in attendance that no quorum is required for the B.W. Annual Members Meeting.

ANNOUNCEMENT AND SEATING OF DIRECTORS FROM ASHLEY PARK, BOCA FALLS AND BOCA WINDS - Mr. Bouras informed the Board that he received signedappointment of Community Representatives from Ashley Park, Boca Falls and Boca Winds sub-associations. The community appointments and B.W. Board Members for the 2023 calendar year are as follows:

Daniel Lindblom representing Ashley Park

Jamie D'Albenzio representing Boca Falls

Lauren Byrne representing Boca Falls

Douglas DeLuca representing Boca Winds

Rick Stacy representing Boca Winds

ELECTION OF CORPORATE/ASSOCIATION OFFICERS FOR YEAR 2023 – Mr. Bouras opened nominations for the position of President.

Mr. Stacy nominated Daniel Lindblom. Mr. Lindblom declined his nomination. Mr. Lindblom nominated Rick Stacy for the position of President. Mr. Stacy accepted his nomination. Mr. Lindblom made a motion to elect Rick Stacy as President. Mrs. D’Albenzio seconded, and it was unanimously approved by the Board.

Mr. Bouras opened nominations for the position of Vice President.

Mr. Stacy nominated Daniel Lindblom as Vice President. Mr. Lindblom accepted. Mr. Stacy made a motion to elect Daniel Lindblom as Vice President. Mrs. Byrne seconded this nomination, and it was unanimously approved by the Board.

Mr. Bouras opened nominations for the position of Treasurer.

Mrs. D’Albenzio nominated Lauren Byrne as Treasurer. There were no other nominations. Mrs D’Albenzio made a motion to elect Lauren Byrne as Treasurer. Mr. Stacy seconded, and it was unanimously approved by the Board.

Mr. Bouras opened nominations for the position of Secretary.

Mr. Stacy nominated Doug DeLuca. There were no other nominations. Mr. DeLuca accepted his nomination. Mr. Stacy made a motion to elect Doug DeLuca as Secretary. Mr. Lindblom seconded this motion, and it was unanimously approved by the Board.

The 2023 Association Officers are as follows:

Rick Stacy – President

Daniel Lindblom – Vice-President

Lauren Byrne - Treasurer

Doug DeLuca – Secretary

Jamie D’Albenzio - Director

APPOINT REPRESENTATIVE TO THE WEST BOCA COMMUNITY COUNCILthis discussion was tabled until the next Board meeting.

APPROVAL OF MEETING MINUTES – The Board reviewed the Meeting Minutes from the November 16, 2022, Board Meeting. Mr. Lindblom made a motion to approve the November 16, 2022, Board Meeting Minutes as written. Mr. DeLuca seconded the motion, and the motion was approved by the Board with 4 votes in favor and 1 vote (Rick Stacy) abstained.

FINANCIAL – The Board reviewed the Delinquency Report as of December 31, 2022. There are no delinquent accounts to discuss.

Mr. Bouras presented the December (year-end) 2022 Balance Sheet, and Income and Expense Report for the Board Members review and noted that association is in good and stable financial condition. The Board Members discussed the Reserve Account and allocation of its funds. It was suggested to table this discussion and to revisit this discussion in the future.

Mr. Bouras informed the Board that at the end of 2022 there are surplus funds of $24, 486.

Mr. Stacy made a motion to transfer the 2022 net income of $24, 486 to the unallocated Reserve Account. Mr Lindblom seconded this motion, and it was approved by the Board with 4 votes in favor and 1 vote (Lauren Byrne) abstained.

RECLAIMED WATER DISCUSSION

NO RESPONSE FROM SFWMD FROM LETTER SENT BY ATTORNEY

RECAP OF WEST BOCA COMMUNITY COUNCIL MEETING ON JANUARY 10, 2023

– Mr. Stacy updated the Board on the status of the reclaimed water project. There is no responsefrom the SFWMD on the letter that was sent by the attorney. SFWMD did acknowledgereceiving the letter. The Board Members discussed the West Boca Community Council Meeting on January 10, 2023, where reclaimed water was discussed and formally presented by Palm Beach Water Utilities and County representatives.

LAKE MAINTENANCE, LAKE INSPECTION UPDATE

DISCUSS ANNUAL FISH STOCKING – Mr. Bouras informed the Board Members thatmanagement inspects the community lakes on monthly basis. Lakes are in good condition and there are no signs of Hydrilla currently. The Board Members discussed the annual fish stockingand application of Sonar if needed to prevent Hydrilla from growing.

Mr. Stacy made a motion to approve the annual fish stocking with total 2023 expenses not to exceed $40,000. Mr. DeLuca seconded, and it was unanimously approved by the Board.

NEW BUSINESS/OLD BUSINESS – One of the homeowners in attendance addressed the Board regarding an incorrect irrigation pump meter reading. Mr. Lindblom answered that there was a recent problem with one of the pump meters and it had to be replaced.

A motion was made and approved to adjourn the Board Meeting at 7:56 pm.
