Board Members Present: Vince Maida, Diane Esola, Daniel Lindblom.

Board Members Absent: Jason Salmon

Also Present: Paul Valyo & James Bouras, Community Management & Construction, Inc.

President Vince Maida welcomed those in attendance. Mr. Valyo stated there weren’t sufficient proxies received to establish a quorum and open the Annual Meeting and have the election of Directors. According to the amended Association documents fifty-seven (57) proxies and/or Members in attendance (20% of the Membership) are needed for the quorum and only 41 have been received.

Mr. Valyo informed the Board that according to the association attorney since there were two attempts to conduct an Annual Meeting and both attempts failed due to a lack of a quorum the 2017 Board Members may remain as Board Members. The current Board of Directors - Vince Maida, Diane Esola and Daniel Lindblom will continue serving on the Board and may fill any open Board positions at a future Board Meeting. Currently there are 2 open positions on the Board.

There was no other Association business to conduct. The meeting was adjourned at 7:10 pm due to a lack of a quorum.
